GENERAL TERMS AND CONDITIONS

VALIDITY OF GENERAL TERMS AND CONDITIONS

These Terms and Conditions (the “Terms and Conditions” or “Terms”) constitute a legally binding agreement between you (“Customer” or “you”) and VIVT Technologies Ltd, trading as Travanzi (hereinafter referred to as “Travanzi,” “we,” “us,” or “our”). These Terms govern your use of our products, services, website (https://www.travanzi.com), and any associated platforms, applications, or tools (collectively referred to as the “Services”).

These Terms and Conditions outline the rights, obligations, and conditions applicable to all individuals and entities interacting with Travanzi’s services. By accessing or using our Services, you agree to abide by these Terms. Travanzi may accept modifications or amendments to these Terms only if explicitly agreed upon in writing.

Definitions of Users

These Terms apply to different categories of users, as defined below:

  • End Users– Individuals who purchase and use Travanzi’s eSIM and digital travel solutions for personal use.
  • Business Users– Organisations or companies that procure Travanzi’s services for their employees, clients, or business operations.
  • End Customers– Individuals who receive Travanzi’s services through a Business User’s account. For example, an organisation may purchase eSIMs for its employees or clients.
  • Job Applicants– Individuals applying for employment opportunities with Travanzi.

For the purpose of these Terms, “Customer” refers to any of the above users, as applicable. This definition ensures that all users engaging with Travanzi’s Services understand their rights and obligations under these Terms.

Agreement to the Terms

By clicking “I Agree,” registering an account, purchasing or using Travanzi’s Services, downloading or using any associated application, or accessing the website, you acknowledge and agree to these Terms. If you do not agree with these Terms, you must refrain from using the Services.

If you are accepting these Terms on behalf of an organisation, business, or legal entity, you represent and warrant that:

  1. You have full legal authority to bind the entity to these Terms.
  2. You have read and understood these Terms.
  3. You agree to these Terms on behalf of the entity you represent.

In such cases, “Customer” will refer to the organisation or entity you represent.

Privacy Policy Acknowledgment

Any personal data submitted to Travanzi or collected during your use of the Services is governed by our Privacy Policy (available at https://www.travanzi.com/privacy-policy). By using the Services, you acknowledge that you have reviewed and understood the Privacy Policy. The Privacy Policy is incorporated by reference into these Terms and, together with these Terms, forms the complete agreement between you and Travanzi.

Important Legal Notices

These Terms contain provisions that impact your legal rights, including but not limited to:

  • A binding arbitration clausegoverning dispute resolution.
  • A waiver of class-action lawsuits(see Section 20).
  • Your right to opt-out of arbitrationunder specific conditions.

Please read these Terms carefully before proceeding with the use of Travanzi’s Services.

REGISTRATION FOR USING TRAVANZI SERVICES

All End Users, Business Users, End Customers, and Job Applicants, as defined in Section 1, must accept these Terms and Conditions before accessing Travanzi’s services.

  • For End Users(individuals purchasing eSIMs for personal use):
  • First Name & Last Name
  • Email Address
  • Phone Number
  • Payment Details (for purchases)
  • For Business Users(companies procuring eSIMs for their employees or clients):
  • Company Name
  • Company Address
  • Email Address of Company Representative(s)
  • Company Website
  • Industry
  • Phone Number
  • Relevant Contact Persons
  • For End Customers(individuals receiving eSIMs via Business Users):
  • Business Users managing eSIMs for their End Customers must ensure that all customer data is collected, stored, and processed in compliance with applicable data protection laws. Travanzi is not responsiblefor data collected by Business Users on behalf of their customers.
In cases where Travanzi’s services are provided via third-party intermediaries (e.g., travel agencies, hotels, or business affiliates), these parties may be responsible for providing necessary registration details on behalf of the Customer. Travanzi reserves the right to request additional information from all users to comply with evolving service requirements, security measures, and regulatory standards. Any changes to data collection policies will be communicated through appropriate channels.

TRAVANZI SERVICE COMMITMENT

Travanzi is committed to providing high-quality eSIM services with a focus on global connectivity, security, and reliability. However, we do not guarantee:

  • Uninterrupted service at all times.
  • Instant or error-free activation due to external factors such as network congestion, device compatibility, or regional restrictions.
  • Absolute security against unauthorised access, hacking, or data breaches.

While we take all reasonable measures to ensure the highest level of service, some factors affecting performance are beyond our control.

CUSTOMER RESPONSIBILITIES

By using Travanzi’s eSIM Services, the Customer agrees to the following obligations:

  • Use the Services for lawful purposes only.
  • Avoid fraudulent, abusive, or illegal activitiesthat could disrupt Travanzi’s network or service availability.
  • Refrain from actions that may cause damage to Travanzi’s infrastructure or third-party networks.
  • Comply with local telecommunications lawsin the country where the eSIM is being used.

If a customer is found to be in violation of these obligations, Travanzi reserves the right to:

  • Suspend or terminate the Account and Serviceswithout prior notice.
  • Report fraudulent activitiesto relevant authorities.
  • Charge penaltiesfor network abuse or contract violations.

During any period of service suspension due to a breach of these Terms, the Customer remains liable for any outstanding payments or charges under the Agreement.

DEVICE COMPATIBILITY

Customers are solely responsible for ensuring their device is eSIM-compatible and network-unlocked before purchasing and activating a Travanzi eSIM.

Device Compatibility Guidelines

  • Travanzi’s eSIMs are supported on most modern smartphones, tablets, and wearable devices that officially support eSIM technology.
  • Device compatibility may vary depending on carrier restrictions and regional limitations.
  • Customers should refer to the list of supported devicesat checkout or visit https://www.travanzi.com/devices for updated information.

Customer Responsibility

  • Checking compatibility before purchasing an eSIM.
  • Confirming their device is network-unlocked(not restricted to a specific carrier).
  • Acknowledging that Travanzi is not responsible for refundsif a purchased eSIM does not work due to an incompatible or locked device.

As eSIM technology evolves, newer models may be supported after updates from manufacturers or network providers. Travanzi does not guarantee compatibility for every eSIM-enabled device worldwide.

START, DURATION, AND TERMINATION OF THE CONTRACT

Commencement of the Contract

The service contract between VIVT Technologies Ltd, Trading as Travanzi (hereinafter referred to as “Travanzi”) and the Customer begins once the Customer successfully completes an order via:

  • The Travanzi website(travanzi.com), including any subdomains and affiliated platforms.
  • The Travanzi mobile application(if applicable).
  • The Travanzi Partner Platform(for Business Users).
  • Any third-party API or reseller integrationwhere Travanzi services are made available.

By placing an order and completing the purchase process, the Customer confirms that they have read, understood, and agreed to these Terms and Conditions, thereby entering into a legally binding contract with Travanzi.

Activation Responsibility

The activation of the purchased eSIM and compliance with the Activation Policy is the sole responsibility of the Customer.

Customers must follow the provided installation and activation instructions to ensure proper use of the service. Travanzi is not responsible for delays or service failures resulting from:

  • Incorrect installation by the Customer.
  • Device incompatibility (see Section 2.5 Device Compatibility).
  • Network restrictions imposed by mobile carriers or local regulations.

Expired or unactivated eSIMs beyond the validity period specified at purchase.

Termination of the Contract

The contract between Travanzi and the Customer remains in effect until terminated by either party under the conditions outlined below. For End Users (Individuals Purchasing eSIMs for Personal Use):

  • The contract is automatically terminatedif the Customer:
  • No longer has an active data package.
  • Deletes the eSIMfrom their device and does not reinstall or reactivate it.
  • Travanzi reserves the right to terminate or suspend an Accountdue to:
  • Fraudulent activitiesassociated with the Account.
  • Violation of these Terms, including unauthorised usage.
  • Failure to comply with local telecommunications regulations.

For Business Users (Companies Procuring eSIMs for Clients/Employees):

  • The contract remains in effect as long as the Business User has an active agreement with Travanzi, even if:
  • Individual eSIMs are deletedfrom customer devices.
  • The Business User has no currently active data packages.
  • Termination occurs only under the following conditions:
  • Explicit written agreement between Travanzi and the Business User.
  • Breach of contractual terms by the Business User.
  • Inactivity beyond a specified period (as determined by Travanzi).

For Business Users with a formal partnership agreement with Travanzi, specific termination terms may apply, which override the standard conditions stated in this section.

CHARGES AND PAYMENT

Payment Terms

All payments for Travanzi’s services, including eSIM purchases, top-ups, and subscriptions, must be made through a third-party payment processing system (the “PSP”), as indicated on the Travanzi platform. Customers may be required to:
  • Register with the PSPand agree to its terms of service.
  • Provide payment detailsdirectly to the PSP.
  • Undergo a verification processrequested by the PSP before completing transactions.

By accepting these Terms, the Customer acknowledges that Travanzi is not a party to the PSP agreement and bears no responsibility or liability for:

  • Payment processing delays.
  • Transaction failures due to bank or PSP-related issues.
  • Unauthorised charges made using Customer payment details.

Pricing and Taxes

  • All prices and fees displayed on the Travanzi platform are exclusive of applicable taxes, including:
  • Value Added Tax (VAT)
  • Goods and Services Tax (GST)
  • Other regional or local sales taxes
  • Taxes are calculated based on the billing address provided by the Customer at the time of purchase.

Accepted Payment Methods

Travanzi offers a range of secure payment options, including but not limited to:

  • Credit/Debit Cards(Visa, MasterCard, American Express)
  • PayPal
  • Google Pay & Apple Pay
  • Other digital payment gatewaysas made available

Payments are processed in GBP (£) OR USD ($) by default, but additional currency options may be provided based on the Customer’s billing country and PSP support.

Secure Payment Processing

All credit card transactions are secured and processed by Travanzi-approved third-party payment service providers, which may include:

Travanzi does not store, process, or have access to Customer payment card details.

Automatic Renewals for End Users

To provide uninterrupted service, Travanzi offers automatic renewal for selected eSIM plans.

How Automatic Renewal Works:

  • When a customer’s data balance drops below a certain threshold, Travanzi will automatically charge the default payment methodto renew the plan.
  • Customers are notified before renewalto ensure transparency.

Cancellation Policy:

  • Customers can opt out of automatic renewalat any time.
  • Cancellation takes effect at the end of the current billing cycle.
  • Users can manage their renewal settings via their Travanzi Account Dashboardor by contacting support@travanzi.com

Invoicing for Business Users

For Business Users, Travanzi issues invoices for eSIM purchases, top-ups, and credits.

Invoice Process:

  • Invoices detail the consumed Travanzi Creditsand associated charges.
  • Payment is due within the timeframe specified on the invoice.

Consequences of Late Payment:

  • Service Suspension– Failure to pay within the specified timeframe may result in a temporary suspension of services.
  • Interest and Penalties– Late payments may incur interest charges and additional administrative fees as permitted by law.

Invoices are issued in GBP (£) OR USD ($) but may be provided in other currencies depending on the Business User’s location and agreement with Travanzi.

Business Users experiencing billing disputes or payment difficulties must immediately contact Travanzi’s support team for resolution.

Prepaid Transactions for Business Users

Business Users can purchase Travanzi Credits, which act as a digital balance for eSIM purchases and renewals.

  • Purchasing Travanzi Credits:
  • Available via credit/debit card, bank transfer, or digital payment solutions.
    • Using Travanzi Credits:
  • Credits are deducted when a Business User purchases eSIMs, top-ups, or related services.

Unused credits remain valid for future use and are non-refundable unless otherwise stated in a Business User’s agreement with Travanzi.

Postpaid Transactions for Business Users

Travanzi may offer postpaid options to eligible Business Users, allowing them to receive services first and pay later.

Postpaid Credit Limits & Eligibility:

  • Business Users may receive a pre-approved credit limitbased on:

These Terms and Conditions outline the rights, obligations, and conditions applicable to all individuals and entities interacting with Travanzi’s services. By accessing or using our Services, you agree to abide by these Terms. Travanzi may accept modifications or amendments to these Terms only if explicitly agreed upon in writing.

  • Company financial history
  • Transaction volume
  • Business partnership level with Travanzi
  • Not all Business Users qualify for postpaid services. Eligibility is at Travanzi’s discretion.

Payment Obligations for Postpaid Users:

  • Payments must be settled within the due datespecified on the invoice.
  • Late or non-payment may result in service suspensionand legal action for recovery.

DELIVERY

eSIM Delivery for End Users

Upon successful purchase of an eSIM, the Customer will have access to the purchased eSIM via the “My eSIMs” section on the Travanzi website (www.travanzi.com) and/or within the Travanzi mobile application (if applicable).

  • A confirmation emailwill be sent to the Customer upon purchase, containing key details regarding the order.
  • Installation instructions and activation guidelineswill be available exclusively through the Customer’s Travanzi Account Dashboard.
  • The eSIM is delivered digitally and does not require any physical shipping.

eSIM Delivery for Business Users

Business Users who procure eSIMs through the Travanzi Partner Platform will have their purchased eSIMs automatically assigned to their business account.

  • The Business User Dashboardwill display all acquired eSIMs, along with associated top-ups and activation details.
  • Business Users can manage and deploy eSIMsas per their internal distribution policies.

Third-Party and API-Based eSIM Delivery

For customers using third-party integrations, travel agencies, or API-based platforms, eSIM delivery will be handled in accordance with the respective partner agreement and the specific integration settings.

  • In such cases, eSIMs may be delivered to the end customers via an intermediary(e.g., a travel agency or corporate distributor).
  • Travanzi is not responsible for delays or mismanagementof eSIM distribution by third-party resellers or affiliates.

REFUND / CANCELLATION / MODIFICATION POLICY

General Refund & Replacement Policy

A Customer is eligible to request a refund or eSIM replacement if they are unable to use the service due to an error or omission by Travanzi.

  • Refund requests must be submitted within thirty (30) daysfrom the purchase date.
  • Travanzi reserves the right to deny refund requestsif:
  • The issue is resolved within 10 daysof the Customer’s notice.
  • The issue arises due to user error, device incompatibility, or misuse.
  • The Customer fails to cooperatewith Travanzi’s support team in resolving the issue.
  • Each eSIM data package has a validity period. No refunds will be offered for unused data once the validity period expires.

Non-Refundable Circumstances

A refund will NOT be issued in the following cases:

Alternative Charges:         

  • No compensation will be provided for charges incurred from alternative SIM cards, other providers, hotel Wi-Fi, or non-Travanzi-related expenses.

Fraudulent Purchases:

  • If there is evidence of fraud, misuse, or violation of Travanzi’s Terms and Conditions, the refund request will be denied.
  • Travanzi reserves the right to suspend the associated accountin such cases.

Unauthorised Purchases:

  • Customers must immediately notify Travanziof any suspected unauthorised transactions.
  • Refunds will be issued only after an internal investigationis completed.

Accidental Purchases:

  • Once an eSIM is installed, it is considered usedand is non-refundable unless covered under Travanzi’s Replacement Policy.

Incorrect Charges:

  • If a customer disputes a charge, they must notify Travanzi within twelve (12) daysof the transaction.
  • The Customer must provide evidencesupporting their claim (see Section 3 Invoicing for details).

Replacements for Promotional Credits:

  • eSIMs purchased exclusively with promotional credits(e.g., voucher-based credits) are eligible only for replacement within 30 days, not refunds.

Requesting a Refund

  • Refund requests must be submitted via:
  • The Travanzi website support portal(support@travanzi.com)
  • The in-app chat(if applicable).
  • Customers may be required to provide additional evidence, such as:
  • Screenshots of device settings.
  • Details explaining the nature of the issue.

Once a refund is approved, it may take up to thirty (30) business days for the amount to be reflected in the original payment method, depending on bank processing times.

For Business Users purchasing through resellers or third-party platforms:

  • Refund requests must be directed to the respective reseller.
  • Travanzi does not process refunds directlyfor purchases made via third-party platforms.

USE OF DIGITAL CURRENCIES (TRAVANZI CREDITS & REWARDS)

Travanzi Rewards System

Travanzi offers a reward system that allows End Users to earn Travanzi Credits for specific activities, including:

  • Cashback on purchases.
  • Referral bonuses.
  • Other promotional incentives.

Key Conditions for Travanzi Credits:

  • Reward Levels:
  • The cashback amount varies based on the purchase amount and reward tier.
  • Travanzi may modify reward levelsat any time without prior notice.

Usage Restrictions:

  • Credits cannot be used when a discount or referral codehas been applied.
  • Credits can only be used toward future eSIM purchaseson Travanzi.
  • Credits cannot be converted to cash.

Expiration Policy:

  • Credits expire automatically after one (1) yearfrom the last qualifying transaction.
  • If an account remains inactive for over one year, a reduced expiry periodmay apply (Customers will be notified in advance).

Non-Transferability:

  • Credits cannot be transferredbetween accounts unless explicitly approved by Travanzi.

Suspension & Revocation:

  • Travanzi reserves the right to suspend or revoke creditsin cases of:
  • Fraudulent activity.
  • Misuse of the rewards program.
  • Violation of Travanzi Terms and Conditions.

Travanzi Credits for Business Users (Prepaid System)

Travanzi Business Users can purchase Travanzi Credits, which act as prepaid funds for:

  • eSim purchases.
  • Top-ups.
  • Other business-related transactions on the Travanzi Partner Platform.

Key Conditions for Business Credits:

Non-Refundable Nature:

  • Travanzi Credits are non-refundableonce purchased.

Usage & Expiry:

  • Unused credits remain in the Business User’s account and are valid for future use.

Contract Termination & Credits:

  • If a Business User terminates their agreement with Travanzi, any remaining credits will remain the property of Travanzi unless otherwise agreed upon in writing.

Credit Limits (For Postpaid Business Users):

  • Business Users may be assigned a credit limitfor postpaid transactions.
  • The limit and repayment termsare determined based on:
  • The business’s transaction history.
  • Agreement terms with Travanzi.

eSIM RECYCLING PROCESS AND ACTIVATION

Travanzi implements an eSIM recycling process to maintain optimal service delivery and ensure efficient allocation of resources.

Activation Requirements

  • Upon successful purchase, Customers are required to activate their eSIM within the specified time frameas outlined in the activation instructions provided during checkout.
  • It is the Customer’s responsibilityto ensure timely activation of the eSIM.

Consequences of Delayed Activation

  • If the eSIM is not activated within the designated time frame, the eSIM may expireand become unusable.
  • Expired eSIMs cannot be reactivatedunder any circumstances.
  • If the Customer fails to activate the eSIM before expiration, they must purchase a new eSIMto obtain service.

Customer Obligations

  • Customers are advised to carefully reviewand adhere to the activation guidelines to ensure a smooth setup process.
  • Travanzi is not liable for loss of servicedue to a customer’s failure to activate their eSIM on time.

PRICES AND PROMOTIONS

Standard Pricing Policy

Prices refer to the cost at which Travanzi offers eSIM packages and associated services.

  • Pricing may varybetween different types of users:
  • End Users(individual customers purchasing via the Travanzi website or app).
  • Business Users(companies purchasing eSIMs via the Travanzi Partner Platform).
  • Prices may be influenced by factors such as:
  • Market conditions
  • Exchange rates
  • Operational costs
  • Telecommunication provider fees

Pricing Adjustments

  • Travanzi reserves the right to modify prices at any time without prior notice.
  • Travanzi aims to notify Customers of significant price changes, but immediate notification may not always be possible.

Promotional Offers

Travanzi may offer limited-time promotional discounts on eSIM packages.

  • Promotional offers are subject to specific terms and conditions, including:
  • Duration of the promotional period.
  • Eligibility criteria.
  • Any additional conditions required for participation.
  • At the end of a promotional period, the regular pricing will apply unless explicitly stated otherwise.

Free Welcome eSIM Program

Travanzi may offer a Free Welcome eSIM Program, which provides eligible first-time users with a complimentary eSIM.

Eligibility Criteria:

  • Available only to new usersor existing users who have not previously completed a transaction using any supported payment method.
  • Users must register for a Travanzi accountto qualify.

Restrictions:

  • Users cannot claim multiple free eSIMsby registering with different email addresses on the same device.
  • Free eSIMs obtained through the program cannot be refunded or exchanged for cash.
  • Users cannot apply referral codeswhen redeeming a free eSIM.
  • Users who previously participated in past promotional campaigns may still be eligiblefor a free eSIM, provided they meet all other criteria.

Fraud Prevention:

  • Travanzi reserves the right to suspend accountsengaged in fraudulent activities (e.g., creating multiple accounts to abuse the free eSIM program).
  • The Free Welcome eSIM Program may be modified or terminated at any timewithout prior notice.

USER LOCATION TRACKING

Collection of Location Data

Travanzi may collect and process geographical location data to enhance service functionality. This data may include:

  • GPS coordinates
  • IP addresses
  • Wi-Fi access points
  • Cell tower details

Purpose of Location Tracking:

  1. Enhancing service quality(e.g., ensuring eSIM compatibility with regional networks).
  2. Providing location-based services(e.g., offering local data plans).
  3. Personalising the user experiencebased on region-specific connectivity needs.

Third-Party Sharing

  • Location data may be shared with third-party service providers(such as telecom partners) under strict privacy protection standards.
  • Any third party accessing such data must handle it in compliance with applicable privacy laws.

User Control Over Location Tracking

  • Customers can manage or disable location trackingvia their device settings.
  • However, disabling location tracking may result in limited functionality for certain Travanzi services.

Data Security & Compliance

  • Travanzi employs industry-standard security measuresto protect location data.
  • Location data is retained only for the necessary period and in compliance with applicable data protection laws.

LOCAL REGULATORY COMPLIANCE

General Compliance

When using Travanzi services, the Customer agrees to comply with all applicable local laws and regulations, including:

  • Mobile device registration requirements
  • Telecommunications usage laws

Where required by local authorities, Travanzi may undertake necessary regulatory actions on behalf of the Customer.

By accepting these Terms and Conditions, the Customer consents to Travanzi’s use of their personal data for these purposes in accordance with local data protection laws.

Specific Country Regulations – Example: Colombia

IMEI Registration Requirement

  • Customers using Travanzi services in Colombia acknowledge that under Resolution 5050 of 2016by the Colombian Telecommunications Commission (CRC), they must register the IMEI number of their mobile device with the CRC’s official IMEI database.
  • This regulation aims to prevent the theft and trafficking of mobile devices.


User Declaration

By using Travanzi services in Colombia, the Customer:

  1. Declares that they are the sole, responsible ownerof their mobile device.
  2. Confirms that the device has been legally purchased.
  3. Acknowledges that they have no knowledge of IMEI manipulation, alteration, or tampering.
  4. Assumes full legal responsibilityfor any potential IMEI modifications.


Travanzi’s Role in Compliance

  • The Customer authorises Travanzi(through its designated agents) to carry out necessary actions on their behalf to facilitate IMEI registration.
  • The Customer also authorises Travanzi to use their personal data for compliance purposesas per Decree 1377 of 2013.

REPRESENTATIONS AND WARRANTIES

Customer Representations

By using the services provided by VIVT Technologies Ltd, trading as Travanzi (“Travanzi”), the Customer represents and warrants that:

  • Legal Age and Capacity
  • The Customer is at least 18 years of ageor meets the legal age requirement in their respective jurisdiction.
  • The Customer has the legal capacityto enter into binding contracts and agrees to be bound by the Terms and Conditions outlined herein.
  • Authority to Act on Behalf of an Entity
  • If the Customer enters into this Agreement on behalf of a company or organisation, they warrant that they:
  • Have full legal authorityto bind the entity to this Agreement.
  • Are acting in good faithand within the scope of their legal authority.

Compliance with Terms and Laws

  • The Customer has read, understood, and agreedto these Terms and Conditions as well as the Privacy Policy before accessing the Services.
  • The Customer will use the Services in accordance with all applicable local, national, and international laws, regulations, and good faith practices.

Prohibited Activities

The Customer agrees not to engage in any of the following activities, whether directly or indirectly:

  • Unauthorised Distribution & Access
  • Copying, distributing, or disclosing any part of the Services beyond the permitted scope.
  • Using automated tools(e.g., bots, crawlers, scrapers) to access the Services without explicit permission.
  • Fraudulent, Illegal, or Harmful Actions
  • Engaging in spam, phishing, pretexting, or fraudulent activities.
  • Uploading or transmitting malicious software, viruses, or harmful code.
  • Interfering with the security, functionality, or performance of the Services.
  • Attempting to bypass security measuresor exploit vulnerabilities in the system.
  • Intellectual Property Violations
  • Infringing upon or violating Travanzi’s intellectual property rightsor the rights of others.
  • Attempting to reverse-engineer, decompile, disassemble, or modify any software associated with Travanzi.
  • Misrepresentation & Harassment
  • Impersonating another individual or entityor misrepresenting affiliation with Travanzi.
  • Engaging in defamation, harassment, discrimination, or threatening behaviouragainst Travanzi staff, other users, or third parties.
  • Data & Privacy Violations
  • Attempting to access unauthorised accounts or personal data.
  • Collecting or tracking personal information of other users without consent.

Disclosure of Purpose for Using Services

  • The Customer warrants that they are using the Services for legitimate purposes.
  • The Customer must discloseif they are using Travanzi’s Services for:
  • Journalistic or investigative purposes.
  • Any activity that may have a legal, reputational, or security impacton Travanzi.

Failure to disclose such intent may result in account suspension or termination.

Mobile App Usage and Updates

By installing the Travanzi mobile application, the Customer consents to:

  1. Automatic updates and upgradesto maintain service quality.
  2. Data collection, including device metrics and location data, as outlined in the Privacy Policy.
  3. The ability to uninstall the application at any time.

Travanzi reserves the right to modify, update, or discontinue app functionalities without prior notice.

TERMINATION AND SUSPENSION

Termination by Either Party

  • Unless otherwise agreed in writing, either Travanzi or the Customermay terminate these Terms of Service at any time, for any reason, without prior notice.
  • The Customer may delete or cancel their accountthrough:
  • The available settings on the Travanzi website or app (if applicable).
  • Written notice to support@travanzi.com

Upon termination, the Customer will no longer have access to their account, profile, or any data associated with the Services.

Survival of Certain Terms After Termination

The termination of the Agreement does not nullify obligations that are intended to survive, including but not limited to:

  • Disclaimer of warranties
  • Limitations of liability
  • Indemnification obligations
  • Dispute resolution mechanisms

These provisions will remain in effect indefinitely even after account termination.

Termination by Travanzi

Travanzi reserves the right to refuse service, suspend, or terminate a customer’s access to the Services if:

  1. The Customer violates any provisionof this Agreement.
  2. The Customer’s actions threaten the security, integrity, or functionalityof the Services.
  3. Travanzi has reasonable grounds to suspect fraudulent, abusive, or illegal activity.

In such cases:

  • Travanzi will provide written or email noticeof termination or suspension.
  • The termination is immediate upon notice delivery.
  • The Customer is prohibited from registering a new account under any name.

Legal Action and Enforcement

Even after termination, Travanzi retains the right to:

  • Pursue legal actionagainst the Customer for any violations.
  • Seek damagesor other remedies for losses caused by the Customer’s actions.

Travanzi may initiate arbitration proceedings in accordance with the dispute resolution clause outlined in Section 20.

Service Modification or Discontinuation

Travanzi reserves the right to:

  • Modify, suspend, or discontinue all or part of the Servicesat its sole discretion.
  • Implement temporary or permanent restrictionson the use of certain features.

Travanzi is not liable for any modifications, suspensions, or discontinuations that may impact the Customer’s ability to use the Services.

Data Deletion After Termination

  • Following account termination, all Customer data may be deletedas part of routine system operations.
  • Data recovery will not be possible once the account has been terminated or cancelled.

LINKS TO THIRD-PARTY WEBSITES

The Services provided by VIVT Technologies Ltd, trading as Travanzi (“Travanzi”) may include links, references, or integrations with third-party websites, platforms, and services. These links are provided for informational and convenience purposes only and do not constitute an endorsement, sponsorship, or affiliation between Travanzi and the respective third-party entities.

Travanzi does not control, own, or operate third-party websites and is therefore not responsible for:

  1. The availability, accuracy, or reliabilityof any third-party content.
  2. The functionality, security, or performanceof linked external services.
  3. Any products, advertisements, or servicesprovided by third-party websites.

It is the Customer’s sole responsibility to evaluate the legitimacy, reliability, and risks associated with using external links and services. Travanzi expressly disclaims all liability for any loss, damage, or issues arising from the use of third-party websites or services.

Risks and Disclaimers

By accessing or using any third-party website linked within the Services, the Customer:

  • Acknowledgesthat such third-party sites are governed by their own terms, privacy policies, and security standards.
  • Assumes full responsibilityfor any risks associated with visiting, interacting with, or purchasing from such third-party websites.
  • Agrees to hold Travanzi harmlessfrom any claims, damages, or disputes that may arise from their interaction with third-party services.

Travanzi reserves the right to modify, remove, or limit links to third-party websites at its sole discretion, without prior notice.

Third-Party Account Integration

As part of the Services, Customers may have the option to link their Travanzi account with certain third-party accounts (e.g., Google, Facebook, Instagram, PayPal) to facilitate transactions, sign-in processes, or service enhancements.

By linking a third-party account to Travanzi:

  • The Customer authorises Travanzito access, retrieve, and store certain account-related information as permitted by the respective third-party provider.
  • The Customer confirms that they have full authorisationto link the third-party account without breaching any terms of the third-party provider.

Travanzi does not review, verify, or assume responsibility for any content, security risks, or privacy issues associated with the linked third-party account. If the linked third-party account becomes unavailable, compromised, or revoked, certain functionalities within Travanzi’s Services may be disrupted or disabled.

The Customer can unlink their third-party account at any time through their Travanzi account settings. However, this may impact service functionality.

Important Notice: The Customer’s relationship with third-party service providers is governed exclusively by their respective agreements, terms, and conditions. Travanzi assumes no liability for any disputes, losses, or issues arising from the use of third-party accounts linked to the Customer’s Travanzi profile.

INTELLECTUAL PROPERTY RIGHTS

Ownership and Protection of Intellectual Property

All content, text, graphics, editorial materials, software, data, videos, logos, trademarks, and any proprietary materials used within the Travanzi Services (collectively referred to as “Proprietary Material”) are the exclusive property of Travanzi or its licensors.

Proprietary Material is protected under national and international intellectual property laws, including but not limited to:

  • Copyrights
  • Trademarks and Service Marks
  • Patents and Trade Secrets
  • Other proprietary rights and protections

Customers may not copy, modify, distribute, reproduce, or transmit any Proprietary Material from the Services without explicit written consent from Travanzi. Any unauthorised use, duplication, or distribution of Travanzi’s Proprietary Material may result in legal action.

Trademarks and Brand Identity

The “Travanzi” name, logo, brand assets, and service marks are registered trademarks owned exclusively by Travanzi.

  • Third-party trademarksappearing on Travanzi’s platform belong to their respective owners.
  • Customers may not use any Travanzi trademarksin a manner that implies endorsement, affiliation, or association without express permission.

Any unauthorised use, imitation, or misrepresentation of Travanzi’s trademarks is strictly prohibited and subject to legal enforcement.

Customer Feedback and Contributions

Travanzi welcomes Customer feedback, suggestions, and ideas regarding improvements to its Services. However, by submitting any feedback, suggestions, ideas, or proposals (collectively referred to as “Feedback”), the Customer agrees that:

  1. The submission is voluntary, non-confidential, and provided without expectation of compensation.
  2. Travanzi has the unrestricted rightto use, implement, modify, or commercialise the Feedback without any obligation to the Customer.

The Customer waives any rights to claim ownership or compensation for any Travanzi product, feature, or service that incorporates their submitted Feedback.

Limited License to Use Services

Subject to compliance with these Terms, Travanzi grants the Customer a limited, non-exclusive, non-transferable, revocable license to access and use its Services solely for personal or business purposes as intended.

This license strictly prohibits the following actions:

  • Selling, sublicensing, renting, modifying, or commercially exploitingany part of the Services.
  • Reverse-engineering, disassembling, or attempting to extract source codefrom the software.
  • Copying, scraping, or harvesting datafrom Travanzi’s platform.

Travanzi reserves the right to revoke this license at any time if the Customer violates these Terms.

Enforcement of Intellectual Property Rights

Travanzi actively monitors, protects, and enforces its intellectual property rights.

  • Any unauthorised reproduction, imitation, or misuseof Travanzi’s proprietary assets may result in legal action.
  • Travanzi reserves the right to pursue claims, damages, and injunctionsagainst any party that infringes its intellectual property.

Customers must immediately notify Travanzi of any suspected infringement or misuse of its intellectual property by contacting support@travanzi.com

COPYRIGHT COMPLAINTS AND COPYRIGHT AGENT

Travanzi respects the intellectual property rights of third parties and expects Customers to do the same. If a Customer believes in good faith that any content made available on Travanzi’s Services infringes upon their copyright or other intellectual property rights, they may submit a formal copyright infringement notice. To file a complaint, the Customer must send a written request to Travanzi’s Copyright Agent at support@travanzi.com and include the following information: Identification of the copyrighted work that is allegedly being infringed, including the URL (web address) or specific location where the material appears on Travanzi’s Services. Proof of ownership, such as the URL where the original or an authorised copy of the copyrighted work exists or the name of the book or publication where it is found. Contact details of the copyright owner, including full name, address, phone number, and email address. A statement of good faith beliefthat the disputed use is not authorised by the copyright owner, its agent, or applicable law.
  • The information provided in the complaint is accurate and truthful.
  • The complainant is the legal ownerof the copyrighted material or authorised to act on behalf of the copyright owner.

A physical or electronic signatureof the complainant or their authorised representative.

Important Notice:

  • Submitting a false or misleading copyright complaintmay result in legal liability.
  • Travanzi reserves the right to investigate and verifyall copyright complaints before taking action.
  • If necessary, Travanzi may remove or restrict accessto the allegedly infringing material.

Travanzi does not mediate copyright disputes and encourages the parties involved to resolve disputes directly before pursuing legal action.

CONFIDENTIAL INFORMATION

Definition and Scope

The Customer acknowledges that Confidential Information is a valuable, proprietary, and legally protected asset of VIVT Technologies Ltd, trading as Travanzi (“Travanzi”). Customers agree not to disclose, transfer, or misuse any Confidential Information except as required for authorised use of Travanzi’s Services.

Confidential Information includes, but is not limited to:

  • Trade secrets, technical data, research, and product development plans.
  • Business strategies, financial data, and marketing insights.
  • Proprietary software, system designs, and operational processes.
  • Customer databases, supplier relationships, and contractual agreements.
  • Non-public information about Travanzi’s employees, partners, and affiliates.

Obligations of the Customer

The Customer agrees to:

  1. Maintain strict confidentialityof all Confidential Information accessed through Travanzi’s Services.
  2. Use Confidential Information solelyfor authorised purposes and not for competitive, commercial, or personal gain.
  3. Restrict accessto Confidential Information to authorised employees or agents who are bound by confidentiality obligations.
  4. Notify Travanzi immediatelyof any unauthorised disclosure, transfer, or suspected breach of confidentiality.


Return or destroy all Confidential Information upon termination of their use of Travanzi’s Services.

Exclusions

Confidential Information does not include information that:

  • Is publicly availablethrough no fault or violation of these Terms.
  • Was lawfully obtained from a third partywithout confidentiality obligations.
  • Was independently developedby the Customer without reference to Travanzi’s Confidential Information.

Enforcement and Legal Remedies

Travanzi reserves the right to take legal action against any Customer or entity that improperly discloses, misuses, or exploits its Confidential Information.

  • Breach of confidentiality obligationsmay result in legal claims for damages, injunctive relief, and contract termination.
  • Customers may be held liablefor any losses incurred by Travanzi as a result of unauthorised disclosure or misuse.

By using Travanzi’s Services, the Customer expressly agrees to comply with these confidentiality obligations.

DISCLAIMER OF WARRANTIES

General Disclaimer

Travanzi’s Services are provided on an “as is” and “as available” basis without any warranties or guarantees, whether express or implied.

To the fullest extent permitted by law, Travanzi expressly disclaims all warranties, including but not limited to:

  • Merchantability(fitness for a particular purpose).
  • Non-infringementof intellectual property or proprietary rights.
  • Error-free or uninterrupted service.

Travanzi does not warrant that:

  1. The Services will be error-free, uninterrupted, or always available.
  2. The Services will meet every Customer’s expectation.

Any content, data, or materials provided are accurate, reliable, or free from defects.

Limitation of Liability

Under no circumstances shall Travanzi, its affiliates, employees, or partners be held liable for:

  • Direct, indirect, incidental, or consequential damages, including but not limited to:
  • Loss of business revenue or profits.
  • Loss of data, goodwill, or business opportunities.
  • Service interruptions, system failures, or data corruption.
  • Damages resulting from unauthorised access, hacking, data breaches, or transmission errors.
  • Losses caused by third-party service providersintegrated with Travanzi’s platform.
  • Acts beyond Travanzi’s control, such as:
  • Internet failures, cyberattacks, or technical disruptions.
  • Force majeure events (natural disasters, war, government actions, etc.).

Maximum Liability Cap

If, notwithstanding the above, Travanzi is found liable for damages, the total aggregate liability shall not exceed:

(i) The total fees paid by the Customer for Travanzi’s Services in the last six (6) months, or (ii) one hundred dollars (USD $100), whichever is lower.

This limitation applies regardless of the cause of action, including breach of contract, negligence, or strict liability.

Jurisdictional Exceptions

Some jurisdictions may not allow the exclusion or limitation of certain warranties or liabilities. In such cases, Travanzi’s liability shall be limited to the maximum extent permitted by law.

INDEMNIFICATION

The Customer agrees to indemnify, defend, and hold harmless VIVT Technologies Ltd, trading as Travanzi (“Travanzi”), along with its officers, directors, employees, agents, legal representatives, insurers, affiliates, successors, and assigns (collectively, the “Indemnified Parties”) against any liabilities, claims, damages, losses, legal fees, and expenses arising from:

  1. Customer’s use or inability to use Travanzi’s Services.
  2. Customer’s breach of these Terms and Conditionsor any violation of applicable laws or third-party rights.
  3. Any content submitted, uploaded, or transmitted via Travanzi’s platform, including content that may infringe on intellectual property rights, violate privacy laws, or be illegal.
  4. Use of unauthorised automated tools(e.g., bots, crawlers, scrapers) that impose an unreasonable burden on Travanzi’s infrastructure.

Travanzi reserves the right, at its sole discretion, to assume exclusive defence and control of any claim subject to this indemnification. The Customer agrees not to settle any claim without Travanzi’s prior written consent.

DISPUTE RESOLUTION – ARBITRATION & CLASS ACTION WAIVER

PLEASE READ THIS SECTION CAREFULLY – IT AFFECTS YOUR LEGAL RIGHTS

This section outlines how disputes between the Customer and Travanzi will be resolved through arbitration rather than litigation.

Good Faith Resolution

If any dispute, claim, or controversy (a “Dispute”) arises from the Customer’s use of Travanzi’s Services, the Customer agrees to first contact Travanzi at support@travanzi.com and attempt to resolve the dispute through direct negotiation.

  • If the Dispute remains unresolved after 30 days, the matter will proceed to arbitration unless explicitly stated otherwise.
  • The Customer may not initiate arbitration, legal action, or seek legal feesbefore attempting direct resolution.

Binding Arbitration

All Disputes between the Customer and Travanzi will be exclusively resolved through binding arbitration, except where:

  • Either party seeks injunctive relieffor intellectual property infringement.
  • The Dispute qualifies for resolution in small claims courtunder its rules.

By agreeing to arbitration, both parties waive the right to a jury trial or any court litigation for disputes covered under this agreement.

Class Action Waiver

  • Disputes must be handled individually.
  • The Customer and Travanzi agree not to participatein any class action lawsuit, collective claim, or consolidated legal proceeding.
  • The arbitrator cannotpreside over any form of class or representative action without explicit written consent.

Arbitration Administration and Rules

  • The arbitration will be conducted by the London Court of International Arbitration (LCIA), following the LCIA Arbitration Rulesin effect at the time of the Dispute.
  • If the parties cannot mutually agree on an arbitrator within seven (7) days, the LCIA will appoint one.

Arbitration Process & Location

  • The arbitration seatwill be London, United Kingdom, unless both parties agree otherwise.
  • If the claim is below £10,000, the arbitration may be conducted via written submissionsunless a hearing is deemed necessary.
  • For claims above £10,000, the arbitrator will determine whether hearings are necessary based on LCIA Rules.
  • The arbitration may be conducted via video conference or teleconferenceif agreed upon by both parties.

Arbitrator’s Decision and Governing Law

  • The arbitrator will apply English law, consistent with the Arbitration Act 1996.
  • Any awarded damages must align with the liability limitations in Section 18of this agreement.
  • The arbitrator’s decision is final and legally binding, enforceable in any court with jurisdiction.

Opt-Out Option: The Customer may opt out of arbitration within 30 days of accepting these Terms by sending a written notice to legal@travanzi.com.

GOVERNING LAW

Except as stated otherwise in Section 20, these Terms & Conditions and any Disputes arising from Travanzi’s Services will be governed by and construed under the laws of England and Wales.

  • The governing law clause does not affect the Customer’s statutory rights under their local jurisdiction.
  • Any disputes that do not fall under arbitrationwill be subject to the exclusive jurisdiction of the courts of England and Wales.

This provision ensures legal consistency and predictability in interpreting these Terms.

NO AGENCY; NO EMPLOYMENT RELATIONSHIP

These Terms and Conditions do not establish any agency, partnership, joint venture, employment, or franchisor-franchisee relationship between Travanzi and the Customer.

  • The Customer is solely responsiblefor their use of Travanzi’s Services and does not act as an agent or representative of Travanzi.
  • The Customer has no authorityto enter into any agreements, representations, warranties, or obligations on behalf of Travanzi.
  • Nothing in these Terms shall be interpreted as creating an employment relationshipbetween Travanzi and the Customer.

The Customer agrees that their use of Travanzi’s Services does not grant them any legal status, title, or rights beyond those explicitly provided within these Terms and Conditions.

GENERAL PROVISIONS

Governing Language:

  • These Terms and Conditionsmay be translated into other languages for reference. However, in the event of any conflict, ambiguity, or discrepancy between the English version and any translated version, the English version shall prevail.
  • The English version is the only legally binding versionand shall be used in all legal proceedings.

Severability:

  • If any provision of these Terms and Conditionsis found to be invalid, unenforceable, or non-binding, the remaining provisions shall remain in full force and effect.
  • Where possible, the invalid provision shall be modified to achieve a similar legal and commercial effect, in line with the intent of these Terms.

Assignment & Transfer:

  • The Customer may not assign or transferthis Agreement to any third party without prior written approval from Travanzi. Any unauthorised assignment shall be deemed null and void.
  • Travanzi may assign or transfer this Agreementat its discretion without Customer consent, including but not limited to assignments:
  1. To a parent or subsidiary company.
  2. To an acquiring entityin the event of a sale, merger, or transfer of assets.
  3. To any other successor or acquireras part of a business restructuring.
  • This Agreement shall be binding upon and benefitTravanzi, its successors, and permitted assigns.

CHANGES TO THIS AGREEMENT AND THE SERVICES

  • Travanzi reserves the right to modify, update, or discontinueany part of these Terms, its Privacy Policy, and its Services at any time.

Changes may include, but are not limited to:

  • Adjustments to terms, pricing, or policies.
  • Introduction of new features or restrictions.
  • Temporary or permanent suspensionof Services.

Notification of Changes:

  • Travanzi may notify Customersof material changes via email or announcements on its platform, but it is not legally required to do so.
  • The Customer is responsible for reviewing these Terms regularlyto stay informed of any changes.

Continued Use Constitutes Acceptance:

  • If the Customer continues to use Travanzi’s Servicesafter changes take effect, it will be deemed an acceptance of the revised Terms.
  • If the Customer does not agree with the changes, they must immediately stop using Travanzi’s Services.

Service Limitations:

  • Travanzi may impose limits on certain features or restrict access to its Services without notice or liability.

NO RIGHTS OF THIRD PARTIES

  1. This Agreement is strictly between Travanzi and the Customer.
  2. No third partyshall have any rights to enforce or benefit from any part of this Agreement under the UK Contracts (Rights of Third Parties) Act 1999.
  3. The rights and obligations outlined in these Terms cannot be transferred to any third party, except where explicitly stated.

NOTICES AND ELECTRONIC COMMUNICATIONS

Consent to Electronic Communications:

  • By using Travanzi’s Services, the Customer agrees to receive all legal notices, updates, and disclosures electronically.
  • Travanzi may communicate with the Customer via email or through notices posted on its website.
  • Electronic notices satisfy any legal requirementthat communications be in writing.
Methods of Communication. Unless specified otherwise, all official notices under these Terms shall be deemed properly given when:
  • Delivered personally.
  • Sent by email(with electronic confirmation of receipt).
  • Sent via certified or registered mail(return receipt requested).
  • Dispatched through a recognised overnight delivery service.

Customer Responsibility:

  • The Customer must ensure their registered email address is active and accessibleto receive Travanzi’s communications.
  • Failure to review notices sent electronically shall not exempt the Customer from being bound by these Terms.
